Creative Economy Week begins on May 13, and Forage is excited to host an event on creative, new opportunities to invest in entrepreneurs.

Brian Edstrom is a 1999 memorial graduate and partner/shareholder at Avisen Legal in Minneapolis. Prior to joining Avisen, Brian spent seven years working for federal and state regulatory agencies in Washington D.C. and Minnesota.  In Washington, Brian investigated civil rights and civil fraud claims with the U.S. Department of Justice Civil Rights Division and Civil Division, Consumer Protection Branch. In Minnesota, Brian served as the Director of Securities at the Minnesota Department of Commerce, where he was responsible for overseeing registration of securities offerings, and registration, enforcement and examination activities involving investment advisers and broker dealers doing business in Minnesota.

For the past several years Brian has been working on securities crowdfunding. What is securities crowdfunding? Think Kickstarter or GoFundMe, but where a business owner offers equity in a business through an online portal as opposed to merely soliciting donations.  Securities crowdfunding offerings are subject to complex federal and state securities regulations and need to be structured with the help of an attorney. Brian works with entrepreneurs who need help raising money from investors through securities offerings.  In particular, he has expertise in helping business owners use “securities crowdfunding” to raise money. Joining Brian will be Lisa Holter Ankel, also from Avisen Legal, and David Duccini, one of Brian's clients. 

With 25 years of experience as a business and transaction lawyer, Lisa Holter Ankel serves as outside general counsel to a diverse base of private companies and as lead counsel on M&A and other financing transactions.  Lisa also advises real estate funds on compliance with the Investing in Opportunity Act. Her clients include single-asset and multi-asset funds focusing on projects located in opportunity zones, where she has helped with structuring, fund formation, and documents for raising funds under the securities laws.

David Duccini is the founder of Silicon Prairie, one of the Midwest’s leading crowdfunding portal operators.  Silicon Prairie provides blockchain-based platforms through which businesses can engage in securities crowdfunding to raise money from investors.  Silicon Prairie is currently registered in Wisconsin to facilitate intrastate securities crowdfunding offerings involving Wisconsin businesses raising money from Wisconsin investors, and with FINRA to facilitate securities crowdfunding nationwide under federal Regulation Crowdfunding.

Light snacks will be served, and wine and Lazy Monk Beer can be purchased by the glass. Tickets cost $5. Pre-registration is not required, but it will help us decide how much cheese to buy!
